4. Fees and Payment Terms

• Pricing, payment schedules, and billing terms are detailed in your service agreement.
• Payments are due according to the schedule specified in writing.
• Late payments may result in service suspension, contract cancellation, or additional charges.
• All payments are final and non-refundable unless otherwise stated in your agreement.
• We reserve the right to modify pricing with advance notice; active contracts remain unchanged unless mutually agreed upon.

5. Intellectual Property Rights

All work product created by Eclipse Marketing, including designs, written materials, software code, logos, and brand assets, remains our exclusive property unless expressly transferred to you in writing. Upon full payment, you receive a license to use deliverables as specified in your service agreement.

6. Your Responsibilities as a Client

• You must provide accurate and timely information necessary for us to perform our services.
• You are responsible for ensuring your business practices comply with applicable federal, state, and local laws, including consumer protection and advertising regulations in New Jersey.
• Delays in providing materials, feedback, or approvals may impact timelines and outcomes.
• You must maintain the security of any login credentials or system access we provide.

7. Confidentiality Agreement

Both Eclipse Marketing and client agree to safeguard proprietary and sensitive information exchanged during our working relationship. Neither party will share confidential information with third parties without written consent, unless required by law.

8. No Guarantees

Although we strive for excellence, Eclipse Marketing cannot guarantee specific outcomes such as search rankings, website traffic, leads, or revenue increases. All services are delivered “as is” without warranties of any kind, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose.

9. Limitation of Liability

To the fullest extent permitted by law, Eclipse Marketing shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of our services, even if we were advised of the possibility of such damages. Our total liability shall not exceed the fees you paid during the six months prior to any claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Eclipse Marketing, its officers, employees, and agents from any claims, liabilities, damages, or costs (including attorney fees) arising from your use of our services, breach of these Terms, or infringement of any third-party rights.

11. Termination of Services

Either party may terminate the service relationship as outlined in the applicable service agreement. Eclipse Marketing reserves the right to suspend or terminate services immediately for non-payment, breach of these Terms, or conduct that harms our business interests or reputation. All outstanding fees become immediately payable upon termination.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New York, United States. Any disputes arising from these Terms or our services shall be resolved exclusively in the courts located in New York County, New York.

13. Dispute Resolution

The parties agree to attempt resolution of any disputes through good-faith negotiation. If negotiation fails, mediation shall be pursued before initiating litigation. This provision does not prevent Eclipse Marketing from seeking injunctive relief for intellectual property infringement or confidentiality breaches.

14. Force Majeure

Eclipse Marketing is not responsible for service delays or failures caused by circumstances beyond our reasonable control, including but not limited to natural disasters, public health emergencies, government actions, cyber incidents, or infrastructure failures.

15. Modifications to Terms

We may update these Terms and Conditions at any time. Changes take effect upon posting to our website with a new effective date. Continued use of our services after changes are posted indicates your acceptance. We will endeavor to notify clients of material changes via email.

16. Severability
