Our services are available to individuals and organizations who are at least 18 years old and have the legal capacity to enter binding agreements. By engaging our services, you confirm that you meet these eligibility criteria.

4. Pricing, Invoicing, and Payment

• Service fees, payment timelines, and billing schedules will be specified in your signed service agreement.
• Payment is required according to the terms outlined in writing.
• Late or missed payments may lead to service suspension, contract termination, or late payment charges.
• Unless your service agreement explicitly states otherwise, all payments are final and non-refundable.
• We may adjust our pricing with advance notice; however, changes will not impact existing contracts without mutual agreement.

5. Ownership of Intellectual Property

All creative materials, content, programming code, designs, trademarks, logos, and other assets created or provided by Eclipse Marketing remain our exclusive property unless a written agreement specifically transfers ownership to the client. Upon receipt of full payment, clients are granted a license to use deliverables as detailed in their service agreement.

6. Client Responsibilities

• Clients must provide accurate, complete, and timely information necessary for service delivery.
• Clients are responsible for compliance with all applicable federal, state, and local regulations, including New Jersey consumer protection and advertising laws.
• Delays in submitting requested materials, feedback, or approvals may affect project timelines and final deliverables.
• Clients must safeguard the confidentiality of any login credentials or system access provided by Eclipse Marketing.

7. Confidentiality Agreement

Eclipse Marketing and the client both agree to protect the confidentiality of proprietary information shared during our business relationship. Neither party will disclose such information to outside parties without prior written consent, except when required by law.

8. Service Disclaimers

Eclipse Marketing is dedicated to providing high-quality services but cannot guarantee specific results, including search engine rankings, website traffic volumes, lead generation numbers, or revenue growth. All services are delivered on an “as is” basis without warranties of any kind, whether express or implied, including warranties of merchantability or fitness for a particular purpose.

9. Liability Limitations

To the maximum extent allowed by law, Eclipse Marketing will not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, data loss, or missed business opportunities, arising from the use or inability to use our services, even if we were informed of the possibility of such damages. Our total liability is limited to the amount paid by the client for services during the six months prior to any claim.

10. Client Indemnification

The client agrees to indemnify, defend, and hold harmless Eclipse Marketing, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from the client’s use of our services, violation of these Terms, or infringement of any third-party rights.

11. Service Termination

Either party may terminate the service agreement according to the provisions in the signed contract. Eclipse Marketing reserves the right to immediately suspend or terminate services for breach of these Terms, non-payment, or conduct we consider harmful to our business or reputation. All outstanding balances become due immediately upon termination.

12. Applicable Law and Venue

These Terms and Conditions are governed by and interpreted according to the laws of the State of California, United States. Any disputes arising from these Terms or the services provided will be subject to the exclusive jurisdiction of the courts located in San Diego County, California.

13. Dispute Resolution Process

If a dispute arises, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation prove unsuccessful, parties may pursue mediation before initiating formal legal action. This provision does not restrict Eclipse Marketing’s right to seek injunctive relief for intellectual property violations or confidentiality breaches.

14. Force Majeure

Eclipse Marketing will not be held liable for any failure or delay in service delivery due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, cyberattacks, or disruptions to internet or telecommunications services.

15. Changes to Terms
