4. Fees, Billing, and Payment Terms

• Service fees, payment schedules, and billing cycles will be detailed in your executed service agreement.
• Payment is due in accordance with the terms specified in writing.
• Late or missed payments may result in service suspension, termination, or the assessment of late fees.
• Unless expressly stated in your service agreement, all payments are final and non-refundable.
• We reserve the right to modify our fees with advance notice, though changes will not affect active contracts unless mutually agreed upon.

5. Intellectual Property Rights

All creative work, content, code, designs, trademarks, logos, and other materials produced or provided by Eclipse Marketing remain our exclusive intellectual property unless a written agreement explicitly transfers ownership to the client. Upon full payment, clients receive a license to use deliverables as specified in the service agreement.

6. Client Obligations

• Clients are responsible for providing timely, accurate, and complete information necessary for service delivery.
• Clients must ensure compliance with all applicable federal, state, and local laws, including New Jersey consumer protection and advertising regulations.
• Delays in providing requested materials, feedback, or approvals may impact project timelines and deliverables.
• Clients must maintain the confidentiality of any account credentials or access provided by Eclipse Marketing.

7. Confidentiality and Non-Disclosure

Both Eclipse Marketing and the client agree to maintain the confidentiality of proprietary information exchanged during the course of the business relationship. Neither party shall disclose such information to third parties without prior written consent, except as required by law.

8. Warranties and Disclaimers

Eclipse Marketing strives to deliver high-quality services but does not guarantee specific outcomes, including search engine rankings, website traffic, lead generation, or revenue increases. Our services are provided “as is” without warranties of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

9. Limitation of Liability

To the fullest extent permitted by law, Eclipse Marketing shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from the use or inability to use our services, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount paid by the client for services in the preceding six months.

10. Indemnification

The client agrees to indemnify, defend, and hold harmless Eclipse Marketing, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from the client’s use of our services, violation of these Terms, or infringement of any third-party rights.

11. Termination of Services

Either party may terminate the service agreement in accordance with the terms specified in the executed contract. Eclipse Marketing reserves the right to immediately suspend or terminate services for breach of these Terms, non-payment, or any conduct we deem harmful to our business or reputation. Upon termination, any outstanding fees become immediately due.

12. Governing Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of the State of New Jersey, United States. Any disputes arising from these Terms or the services provided shall be subject to the exclusive jurisdiction of the courts located in Middlesex County, New Jersey.

13. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, the parties may pursue mediation before initiating formal legal proceedings. This provision does not limit Eclipse Marketing’s right to seek injunctive relief for intellectual property violations or confidentiality breaches.

14. Force Majeure

Eclipse Marketing shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, cyberattacks, or interruptions in internet or telecommunications services.
